1.INTRODUCTION TO RAYMOND LTD

Raymond Textile is Indias leading producer of worsted suiting fabric with over 60% market share. With a capacity of 25 million meters of wool & wool-blended fabrics, Raymond Textiles is the worlds third largest integrated manufacturer. The company exports its suitings to more than 50 countries including USA, Canada, Europe, Japan and the Middle East. Over the years, Raymond Textile has developed strong in-house skills for research & development, which has resulted in path-breaking new products. Perceived as pioneer and innovator, Raymond Textile has been responsible for raising the standard of the Indian textiles industry.

The Denim division has an installed capacity of 20 million meters and produces high quality ring denims. The company currently ranks among the top 3 producers in India. The products are exported to over 30 countries in the world. The Engineering Files & Tools division, J K Files & Tools, is the worlds largest producer of steel files with 90% market share in India and about 30% market share in the world. The Designer Wear division, Be: is an exclusive pret-a-porter range that houses designs by some of the finest Indian designers. Be: offers an eclectic mix of formal, office and evening wear for men and women, in western, ethnic and fusion styles with accessories. The Aviation division, Million Air was launched in 1996 to provide air charter services. Known for high quality and reliable services, Million Air has a fleet of three helicopters and one executive jet.

The Company has its Textile Division located at Thane, Jalgaon, Chhindwara, and Vapi. Denim Division located at Yavatmal, with J K Files and Tools Division located at Ratnagiri, Chiplun, Pithampur, Kolkata and Aviation Division located at Mumbai.

2.INTRODUCTION TO BOMBAY RAYON FASHIONS LTD.
Bombay Rayon Fashions Ltd (BRFL), a part of Bombay Rayon group was incorporated as Mudra Fabrics Private Limited (MFL) on May 21, 1992. On October 13, 1992 the Company was converted into a public limited company. Subsequently, on September 30, 2004, name of the company was changed to Bombay Rayon Fashions Limited (BRFL). In March 2005, with a view to consolidate business of our Group, Bombay Rayon Private Limited (BRPL) was amalgamated with the Company after the High Court of Bombay approved the Scheme of Amalgamation effective April 1, 2004 and two partnership firms of the Group, i.e., B R Exports and Garden City Clothing were taken over by BRPL and BRFL respectively.

After the amalgamation of BRPL with BRFL all the three entities, i.e., BRPL, GCC and B R Exports have merged into our Company resulting into consolidation of businesses from fabrics, design development and Garments under one corporate roof.

The Company is mainly engaged in the business of manufacturing of textiles consisting of fabrics and garments. The company has its plant for weaving of fabrics at Bhiwadi, Navi Mumbai, and Silvassa. Plant for Garment manufacturing at Bangalore, and Plant for Yarn Dyeing, Processing & Garment Manufacturing.

The company has also become one of the largest Garment Manufacturer of designer shirts for exports with the increase in Garment capacity from 1.8 million pieces p.a to 12 million pieces p.a. The Company has already added in its customer list many well known brands/ labels from The United States of America (USA) and European Countries.

The company focuses to convert the Company into Complete Apparel Company with state of the art designing and sampling set ups and entire value chain from yarn dyeing, weaving, processing and manufacturing of fabrics and garments.

The New Garment Unit at Bangalore with an installed capacity for manufacturing 7.8 million pieces of Garments per annum became operational with commencement of commercial production from 6th March 2006. The project execution is at an advanced stage and is scheduled to be fully commercially operational in the second quarter of the current year.

SALIENT FINANCIAL PERFORMANCE

FINANCIAL HIGHLIGHTS.
During the year the gross turnover, net of returns and discounts, increased by 16.17% to
Rs.1324.74 crores from Rs.1140.28 crores in the previous year. This was primarily due to higher domestic sales achieved in all the main areas of businesses – textiles, denim and files, as the Company consolidated its position in a buoyant Indian economy. Exports also went up, especially in worsted textiles through the garmenting route. Profit before tax, prior period adjustments and exceptional items was higher at Rs.173.65 crores as against Rs. 116.50 crores in the previous year.

Net profit, after exceptional items, prior year adjustments, provision for
taxes were higher at Rs.121.01 crores as against Rs.83.15 crores last year.
2.BOMBAY RAYON FASHIONS LTD
FINANCIAL HIGHLIGHTS.
The turnover (gross) of the Company increased by 88% to Rs.20204.65 lacs during the year under rep out of which the Export Sales has increased to Rs.6347.29 lacs from 399.45 lacs (16 times). The Company has posted an excellent performance as Profit before Tax has increased remarkably by to Rs.2546.20 lacs in comparison with Rs.919.72 lacs in the previous year. After providing for taxation, the Company has been able to register profit after tax to the tune of Rs.1818.02 lacs as against Rs.726.21 lacs for previous year, registering a substantial rise of 15000.Considering the surplus available, Board of Directors is pleased to recommend a Dividend of Re. 1 per Equity Share

The Company has not accepted or renewed any deposit from public during the
year under review.
