Key Players VTech plans to acquire 100% of the outstanding common stock of LeapFrog through an all cash tender offer followed by a second-step merger. VTech will offer LeapFrog investors US$1.00 per share for LeapFrogs Class A and Class B shares, which represents a 75.4% premium over the closing price of LeapFrogs Class A shares on 4 February 2016. Apparently, the entire transaction is funded internally.. “By bringing together two of the great names in childrens learning and entertainment , and also will allow us to offer the broadest portfolio of products that enhance the education and development of children across the world, while bringing them fun and joy” , says Allan Wong, , SEO of Asus Even thought they have address the main concepts of why they are merging but now some considerations . . There is a need to develop an internal working team made up of representatives from finance, sales and marketing, and operations. You also want to consider using outside experienced advisors such as lawyers, accountants, investment bankers, valuation experts, and in some come cases insurance or employee benefits experts. VP of Human resources is responsible for directing all of the people functions of the corporation in accordance with the policies and practices of the Corporation, the ethical and social consciences of business and society and the laws, regulations and administrative rulings of governmental organizations and other regulatory and advisory authorities and organizations. The incumbent will also be responsible for the strategic human resource planning to provide the company with the best people talent available and to position the company as the Employer of Choice by being aware of policies, practices and trends within the software industry, newly public companies and all of industry in general.
